Terms of Service

These Terms of Service ("Terms") govern the use of the LeadTapAI SMS lead qualification and missed-call recovery service ("Service") provided by LeadTapAI ("we", "us", "our") to the client named on the applicable order form or onboarding agreement ("you", "your", "Client").
By signing up, paying the Setup Fee, or using the Service, you agree to these Terms.
1. The Service
LeadTapAI provides automated SMS-based lead qualification, missed-call text-back, and lead data logging for UK tradespeople. The Service includes:
- Automated SMS conversation handling with your inbound leads
- Missed-call text-back and follow-up
- Lead data capture and logging to a shared Google Sheet
- Do Not Contact / opt-out list management
- The lead capture service operates 24 hours a day, 7 days a week. Pip will respond to inbound SMS enquiries and missed calls at all times, including outside your stated business hours.
We may update, improve, or change features of the Service from time to time without reducing its core functionality.
2. Fees and Payment
- Setup Fee: a one-time fee of £100, payable before onboarding begins.
- Subscription Fee: £125/month, billed monthly in advance from the date the Service goes live for you.
- Fees are payable by [Direct Debit / card / bank transfer — confirm method].
- If a payment fails or is late, we may suspend the Service until payment is received.
2.1 Price Changes
We reserve the right to change our Subscription Fees. We will give you at least 30 days' written notice (by email or SMS) before any price change takes effect. If you do not agree to the new price, you may cancel the Service before the change takes effect in accordance with Section 4 (Cancellation), without penalty. Continued use of the Service after the new price takes effect constitutes acceptance of the new fee.
Notwithstanding the above, we will not increase your Subscription Fee during your first 12 months on the Service.
3. Term
The Service is provided on a rolling monthly basis starting from your go-live date, unless otherwise agreed in writing (e.g. a fixed-term trial).
3.1 Free Trial Offer
At our discretion, we may offer a Client a free trial period of 30 days from their go-live date, during which the Subscription Fee is waived, together with a reduced Setup Fee of £50. This offer is made on a case-by-case basis and is not guaranteed to any Client. Unless you cancel in accordance with Section 4 (Cancellation) before the trial period ends, the Service will automatically continue on a rolling monthly basis at the standard Subscription Fee from day 31 onward.
4. Cancellation
- You may cancel at any time by giving us 30 days' written notice.
- We may cancel or suspend your access to the Service with 30 days' notice, or immediately in cases of non-payment, misuse, or breach of these Terms.
- No refunds are given for the Setup Fee or for partial months already paid.
5. Your Responsibilities
You are responsible for:
- Ensuring you have lawful consent (under PECR/UK GDPR) to contact leads and customers via SMS on your behalf.
- Providing accurate business information during onboarding (service area, working hours, job types).
- Promptly notifying us of any numbers that should be added to your Do Not Contact list.
- Not using the Service for unlawful, unsolicited, or spam messaging.
5.1 Acceptable Use
You must not use the Service to:
- Send messages to anyone who has not enquired about your business or who has opted out.
- Send content that is fraudulent, misleading, harassing, defamatory, or illegal.
- Attempt to circumvent opt-out (STOP) requests or Do Not Contact instructions.
- Impersonate another person or business, or misrepresent your identity.
5.2 Authorization to Act on Your Behalf
By agreeing to these Terms, you authorize us to send SMS messages, and to place and receive calls, to leads and customers on your behalf for the purpose of providing the Service. You confirm that you have — or will obtain — any consent required under PECR and UK GDPR for your leads and customers to be contacted in this way, and you agree to notify us immediately of any number that should be added to your Do Not Contact list (see Section 5).
We may suspend or terminate the Service immediately, without refund, if we reasonably believe you are in breach of this section.
6. Data Protection
- We act as a data processor on your behalf for the purpose of handling SMS conversations and storing lead data. You remain the data controller for your customers' personal data.
- We will only use lead/customer data to provide the Service and will not sell or share it with third parties except sub-processors necessary to run the Service (e.g. Telnyx for SMS delivery, Relevance AI for conversation processing, Google for data storage).
- You are responsible for ensuring your own compliance with UK GDPR and PECR in relation to how leads reach us and how their data is used afterward.
- A separate Data Processing Agreement (DPA) is available on request.
7. Service Availability and Liability
- We aim for high availability but do not guarantee the Service will be uninterrupted or error-free, as it depends on third-party providers (SMS carriers, AI infrastructure, cloud hosting).
- We are not liable for missed leads, delayed responses, or lost business resulting from outages or failures of third-party services outside our reasonable control.
- Our total liability to you for any claim arising from the Service is limited to the fees paid by you in the 3 months preceding the claim.
- Nothing in these Terms limits liability for death, personal injury caused by negligence, or fraud.
- Following completion of the onboarding form, your AI assistant will be configured and activated within 1-2 business days. You will receive a confirmation email once your service is live.
8. Intellectual Property
All software, prompts, workflows, and systems used to provide the Service remain our property. You are granted a non-exclusive right to use the Service for your business only; you may not resell, sublicense, or reverse-engineer it.
9. Confidentiality
Each party agrees to keep the other's confidential business information private, except where disclosure is required by law.
10. Force Majeure
Neither party is liable for delay or failure to perform any obligation under these Terms where the delay or failure results from causes beyond that party's reasonable control, including but not limited to internet or telecoms outages, failures of third-party providers (e.g. SMS carriers, cloud hosting, AI infrastructure), natural disasters, or changes in law.
11. Assignment
You may not transfer or assign your rights under these Terms without our written consent. We may assign or transfer these Terms (for example, as part of a sale or restructuring of our business), provided this does not materially reduce the service you receive.
12. Third-Party Services
The Service relies on third-party providers (including but not limited to Telnyx, Relevance AI, and Google) to function. We are not responsible for outages, errors, or changes made by these providers, though we will make reasonable efforts to notify you of any material disruption and to restore service promptly.
13. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court or regulator, the remaining provisions will continue in full force and effect.
14. Entire Agreement
These Terms, together with any order form, onboarding agreement, or DPA referenced within them, constitute the entire agreement between you and us regarding the Service, and supersede any prior discussions or agreements on the same subject.
15. Notices
Formal notices under these Terms (e.g. cancellation, breach notices) must be sent in writing by email to the address provided at onboarding, and are considered received the next business day.
16. Changes to These Terms
We may update these Terms from time to time (other than fee changes, which are covered under Section 2.1). We will notify you of material changes by email at least 14 days before they take effect.
17. Governing Law
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any disputes.
18. Fair use
The standard plan includes up to 300 AI conversations per month. Usage above this threshold may be subject to additional charges.
